What these terms cover

These terms apply to your use of okroh.com and to the ROH Report. If you go on to hire Okroh, a separate written agreement covers that work. Where the two disagree, the written agreement wins.

Okroh Agency, LLC is a Texas limited liability company. In these terms, "we" and "Okroh" mean that company, and "you" means the person or business using the site.

The ROH Report

The ROH Report is free and yours whether or not you hire us. It is an estimate built from the answers you give: how often a workload runs, how long it takes, what kind of steps it involves, and the hourly rate you supply if you choose to supply one.

It is not a quote, a proposal, an audit, or a promise of a result. Specifically:

• The figures are ranges derived from your own inputs. Change an input and the range changes. If your inputs are rough, the output is rough.
• Every number in the report is calculated by our code from published factors. The language model writes the prose and never produces a figure.
• If you leave out your hourly rate, the report stays in hours and shows no money figures. That is the intended behavior, not a fault.
• Nothing in it commits either of us to a price, a scope, or a timeline.

Do not treat the report as financial, tax, or legal advice. Decide with your own advisers before you act on it.

What we sell

Okroh builds and operates websites and connected automations. Current services and prices are on the pricing page, and the ownership route is described on the ownership page. Both carry the date the figures were confirmed. Prices on this site are current as of that date and can change for future engagements. A price we have quoted you in writing does not change underneath you.

Fees and infrastructure cost

Our fee and the cost of the infrastructure your system runs on are two separate things, and we show them separately rather than folding one into the other.

The fee is what you pay Okroh. Infrastructure is what the underlying services cost, for example domain registration, hosting, a CRM seat, and usage-based AI spend. Those are third-party prices. We do not mark them up and we do not control them. When a provider changes its price, your infrastructure line changes and we tell you.

Payment terms, invoicing schedule, and what happens to a late invoice are set in your written agreement.

What you own and what you give up

On completion and payment, you own your content, your data, your domain, and the custom configuration built for you. You can export it and take it elsewhere. The software underneath is third-party software used under its own license, and owning your configuration is not the same as owning those products.

Being on a managed plan means giving something up, and it is fair to say what:

• You do not get to pick any tool you like. We operate a defined stack because that is what makes a fixed fee possible.
• While we operate the system, changes go through us. You are trading direct control for not having to hold the system in your head.
• If you leave, you keep everything and you also take on running it. The hosting choice is reversible and the endpoints are the same either way, so leaving is a real option rather than a threat.
• Okroh keeps the general knowledge, methods, and reusable components developed along the way, and may use them for other clients. Nothing of yours goes with them.

What you provide

• Accurate information. The report and the build are only as good as what you tell us.
• Access to the accounts and systems the work depends on, and the authority to grant it.
• The rights to any content, logo, or data you hand us.
• Timely decisions where the work is waiting on one.

Using this site

Do not use this site to break the law or to interfere with it. In particular, do not:

• Submit the form on someone else's behalf without their permission, or enter a phone number that is not yours to give.
• Submit false information to obtain a report you have no intention of using.
• Attempt to break, overload, or gain unauthorized access to the site or the systems behind it.
• Scrape or republish the site's content as your own.

The text, design, brand, and code of this site belong to Okroh. The ROH Report we send you is yours to use inside your business however you like.

Availability

We do not promise this site or the intake form is available without interruption. Both depend on third-party services. Service levels for work we operate for you, if any apply, are set in your written agreement.

Third-party services

Delivering the report and running client systems involves other companies, named on the privacy page. Each has its own terms, and we are not responsible for how they run their businesses. Where one of them fails, we will tell you what happened.

Warranties

We will perform our services with reasonable skill and care. Beyond that, this site and the ROH Report are provided as they are, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Some jurisdictions do not allow that exclusion, in which case it applies to the extent permitted.

Limitation of liability

To the extent the law allows, Okroh is not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost revenue, or lost data, arising from your use of this site or the ROH Report.

Our total liability for any claim relating to this site or the ROH Report is limited to the amount you have paid Okroh in the twelve months before the claim. Where you have paid us nothing, which is the case for the ROH Report, that amount is zero. Liability for work under a written agreement is governed by that agreement.

Nothing here excludes liability that cannot lawfully be excluded, including for fraud.

Ending an engagement

You can stop using this site at any time. Notice periods, offboarding, and what you receive on exit are set in your written agreement. We may decline or end an engagement, and we will say why.

Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict of law rules. The courts of Texas have jurisdiction over any dispute arising from them.

Changes

We may update these terms. The date at the top changes when we do. Continuing to use the site after that means you accept the update. A change to these terms does not alter a written agreement already in place.
